User Agreement

GENERAL RESTRICTIONS:

The maximum extent of logo/media usage allowed is as per individual agreement. The required length of time must be stated on this form under period of use. If BioHorizons approval to use the logo or media has been given this does not grant any right, title or interest in the logo or media to requested parties, other than the rights specifically granted in the actual approval. The user will not make any representation or do any act which may be taken to indicate that it has any right, title or interest in the logo or media except under the terms of the consent issued by BioHorizons. The user should not assign, transfer or enable usage of the BioHorizons logo or media to others, without the prior, written consent of BioHorizons.

The user should not use the logo, or any part thereof, as part of their name or identity nor use any name or mark confusingly similar to BioHorizons logo or otherwise utilise the logo in a manner intended to link or associate the user or its products or services in any manner with BioHorizons. The user must comply with all applicable laws and regulations, in particular, all laws and regulations pertaining to proper protection, use and designation of trademarks in the UK and any countries in which they intend to use the logo.

LOGO SPECIFICS:

The user must:

(i) not alter or modify the logo in any way;

(ii) ensure the logo appears and is printed in its entirety, as supplied, by itself and not combined with any other graphic or textual elements;

(iii) ensure the logo is not used as a design element of any other logo or trademark;

(iv) not use the BioHorizons logo in any manner that might disparage or injure BioHorizons' reputation;

(v) not use BioHorizons logo in any media that is in violation of any applicable laws or governmental regulations;

(vi) ensure that the use of the BioHorizons logo is truthful and not misleading. The user must not use the logo to imply any relationship with, or endorsement or sponsorship by, BioHorizons that is not true. The user must not use the BioHorizons logo in connection with any disparaging or negative statements about BioHorizons or any of BioHorizons activities etc.

MEDIA SPECIFICS:

The user must:

(i) not alter or modify the media in any way;

(ii) ensure the media appears and is printed in its entirety, as supplied, and not combined with any other graphic or textual elements;

(iii) not use BioHorizons media in any media that is in violation of any applicable laws or governmental regulations;

(iv) ensure that the use of the BioHorizons media is truthful and not misleading. The user must not use the media to imply any procedure that is not true to its intended use. The user must not use the BioHorizons media in connection with any disparaging or negative statements about BioHorizons or any of BioHorizons activities etc.

On application, the user agrees and supplies BioHorizons with all locations and forms of their use of the logo/media. User should also be made liable to remedy any deficiencies in logo/media usage, as determined by BioHorizons in its sole discretion, upon notification by BioHorizons and in the manner requested by BioHorizons.

INDEMNITY CLAUSE:

The user shall be liable for and will indemnify BioHorizons against all liability, loss, damages, costs, professional and other expenses of any nature whatsoever incurred or suffered by BioHorizons, whether direct or consequential arising out of the use by the user of the logo or media, except insofar as any such loss may arise from the negligence of BioHorizons.

RESERVATION OF RIGHTS:

BioHorizons must reserve the right to terminate, revoke, modify or suspend its approval of logo/media usage and any rights arising out of or in connection with the approval, in whole or in part, without cause, at its sole discretion at any time. Permission to use the logo or media will only be granted upon receipt of a proof of all printed material or a representation of any electronic display being forwarded to and approved by BioHorizons.

Permission to use the logo or media will only be granted to specific projects, programs, initiatives and the logo or media must not be attached to other projects/programs, initiatives promoted by the same user. If the user completes, terminates or withdraws from the specific activity the logo or media was approved for, then they must immediately cease to use all printed material/stationery containing the BioHorizons logo/media and/or delete the logo/media from their electronic display.
